Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Psychiartist platform operated by Auralytics Technologies (“Company,” “we,” “us,” or “our”). By accessing or using the platform, you agree to be bound by these Terms.

1. Eligibility

The Psychiartist platform is designed for licensed mental health professionals, healthcare organizations, and their authorized staff. By creating an account, you represent that you:

  • Are a licensed healthcare professional or authorized representative of a healthcare organization
  • Are at least 18 years of age
  • Have the authority to bind the organization you represent
  • Will comply with all applicable laws, including HIPAA (for US-based users)

2. Account Responsibilities

  • You are responsible for maintaining the confidentiality of your login credentials
  • You must immediately notify us of any unauthorized use of your account
  • You are responsible for all activities that occur under your account
  • You must ensure all users within your organization comply with these Terms
  • You must use strong passwords (minimum 12 characters) and enable two-factor authentication when available

3. HIPAA Compliance (US Users)

For healthcare providers subject to HIPAA:

  • We will enter into a Business Associate Agreement (BAA) governing our handling of PHI
  • You are responsible for obtaining appropriate patient consents
  • You must configure appropriate access controls within your organization
  • You must report any suspected security incidents promptly
  • Both parties are responsible for maintaining HIPAA compliance within their respective roles

4. Acceptable Use

You agree NOT to:

  • Use the platform for any unlawful purpose
  • Share PHI outside the platform without appropriate authorization
  • Attempt to gain unauthorized access to other accounts or systems
  • Interfere with or disrupt the platform's operation
  • Reverse engineer, decompile, or disassemble any part of the platform
  • Use automated scripts or bots to access the platform
  • Transmit malware, viruses, or other harmful code
  • Store or transmit content that is illegal, harmful, or violates third-party rights

5. Subscription and Billing

5.1 Plans

We offer tiered subscription plans (Solo, Team, Clinic, Enterprise) with varying features and pricing. Current pricing is available on our website.

5.2 Currency

  • United States: All fees are in US Dollars (USD), processed via Stripe
  • India: All fees are in Indian Rupees (INR), processed via Razorpay

5.3 Billing Cycle

Subscriptions are billed monthly or annually. Fees are non-refundable except as required by applicable law or as stated in our refund policy.

5.4 Free Trial

New accounts receive a 14-day free trial. No payment is required during the trial. Your subscription begins when you select a paid plan.

5.5 Payment Failure

If payment fails, we will attempt to notify you and provide a 7-day grace period. If payment is not received, your account may be suspended. Your data will be retained for 90 days after suspension before deletion.

6. Data Ownership

  • Your Data: You retain all rights to the data you enter into the platform, including client records, notes, and documents. We do not claim ownership of your data.
  • Data Export:You may export your data at any time through the platform's export features.
  • Data Portability: Upon termination, we will provide your data in a standard format within 30 days of request.

7. Intellectual Property

The Psychiartist platform, including its design, features, code, and documentation, is owned by Auralytics Technologies and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the platform for its intended purpose.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • The platform is provided “as is” and “as available” without warranties of any kind.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
  • Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.
  • We are not liable for clinical decisions made by healthcare providers using the platform.

9. Indemnification

You agree to indemnify and hold harmless Auralytics Technologies from any claims, damages, or expenses arising from: (a) your use of the platform; (b) your violation of these Terms; (c) your violation of applicable laws or regulations; or (d) clinical decisions made using the platform.

10. Governing Law and Disputes

  • US Users: These Terms shall be governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.
  • India Users: These Terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in New Delhi.

11. Termination

  • You may terminate your account at any time through the platform settings
  • We may suspend or terminate your account for violation of these Terms with 30 days notice
  • We may immediately suspend access for security incidents or illegal activity
  • Upon termination, your data will be available for export for 90 days

12. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated at least 30 days in advance via email and in-platform notification. Continued use after the effective date constitutes acceptance.
